Beyond Grocery – Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Beyond Grocery ("Company", "we", "our", or "us"). By downloading, installing, accessing, or using the Beyond Grocery mobile application (the "App"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the App immediately.

2. Description of the App

Beyond Grocery is a mobile application designed to assist users with grocery budgeting and shopping list management. Features of the App include, but are not limited to:

  • Setting and managing weekly or monthly grocery budgets with automatic reset options

  • Scanning price labels using the device camera to automatically record grocery spending

  • Creating and managing grocery lists with progress tracking

  • Tracking spending against a defined budget with visual indicators

  • Associating scanned items with store locations (when location services are enabled)

  • Managing item quantities and measurement units

The App may be updated, modified, enhanced, or have features added or removed at any time at our sole discretion.

3. Eligibility

You must meet the following requirements to use the App:

Age Requirement: You must be at least 13 years of age to use the App. If you are under the age of majority in your jurisdiction, you represent and warrant that you have obtained permission from a parent or legal guardian to use the App.

Children Under 13: The App is not intended for, and should not be used by, anyone under 13 years of age. We do not knowingly collect data from children under 13.

Geographic Availability: The App is only available in Canada. The App is NOT available for download, installation, or use outside of Canada, including but not limited to the United States, European Union (EU), European Economic Area (EEA), United Kingdom, or Switzerland. By using the App, you represent and warrant that you are located in Canada and will only use the App from within Canada.

If you are located outside of Canada, you must not use the App and should uninstall it immediately if you have already downloaded it.

4. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the App on compatible iOS devices that you own or control

  • Use the App solely for personal, non-commercial purposes

You may not:

  • Copy, modify, distribute, sell, or lease any part of the App

  • Reverse engineer, decompile, or attempt to extract source code from the App

  • Use the App in any way that infringes on intellectual property rights

  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

  • Use the App for any unlawful, fraudulent, or harmful activities

5. Intellectual Property Rights

All content, features, designs, logos, trademarks, software code, user interface, and functionality within the App are the exclusive property of Beyond Grocery or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your use of the App does not grant you ownership of any intellectual property contained within or associated with it. You agree not to reproduce, duplicate, or exploit any part of the App without our prior written consent.

6. User Responsibilities

You agree that you will:

  • Use the App only for lawful purposes and in compliance with all applicable laws

  • Provide accurate and non-deceptive data when scanning or entering grocery information

  • Be solely responsible for the accuracy of data you provide through the App

  • Respect the privacy and property rights of others when using camera features in public spaces

  • Comply with store policies and regulations when scanning items in retail locations

You agree that you will not:

  • Upload or transmit any content that is defamatory, malicious, harmful, or inappropriate

  • Attempt to interfere with, disrupt, or compromise the security or functionality of the App

  • Misuse the camera features or attempt to upload deceptive, false, or misleading data

  • Use the App to harass, abuse, or harm others

  • Attempt to gain unauthorized access to any part of the App or associated systems

  • Use automated systems (bots, scripts) to interact with the App

7. Camera and Device Features

The App utilizes device features including:

  • Camera: For scanning price labels and barcodes

  • Location Services: For optionally associating items with store locations

  • Photo Library: For saving debug images (if enabled)

You acknowledge and agree that:

  • You must grant the App permission to access certain device functionalities

  • Some features may not function properly if permissions are denied

  • You will use these features in accordance with applicable laws and store policies

  • You are responsible for any consequences of using these features inappropriately

  • Camera images are processed on-device and immediately discarded (not stored or transmitted)

8. Data Handling and Privacy

Your use of the App is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

What We Collect:

  • We do not collect personally identifiable information (names, emails, phone numbers)

  • We collect device identifier (resets when app is uninstalled)

  • We collect shopping data (items, prices, categories, barcodes)

  • We collect location data only when you grant permission (can be disabled anytime)

  • We collect app version and usage data

Where Data is Stored:

  • Local Device: Grocery items, budgets, lists stored on your device

  • Our Servers (Supabase): Shopping session data, price data, device ID, location (if enabled)

How Data is Used:

  • Provide app functionality (budget tracking, list management)

  • Improve price recommendations through aggregated data analysis

  • Monitor app version compatibility and performance

What We Don't Do:

  • Sell or rent your data to third parties

  • Use data for advertising or profiling

  • Track you across other apps or websites

  • Store camera images (processed on-device and immediately deleted)

Third-Party Services:

  • Product barcodes sent to UPCItemDB and OpenFoodFacts for product lookup

  • Data transmitted to Supabase (our backend provider) for analytics

9. Third-Party Services

The App may integrate with:

  • Device-level services (camera, operating system APIs, on-device text recognition)

  • Third-party product information APIs (UPCItemDB, OpenFoodFacts)

You acknowledge that:

  • Your use of third-party services may be subject to their respective terms and policies

  • We do not control third-party services and are not responsible for their operation or availability

  • Third-party service failures may affect App functionality

  • You should review the terms and privacy policies of any third-party services

10. App Updates and Modifications

We reserve the right to:

  • Update, modify, suspend, or discontinue any aspect of the App at any time

  • Add, change, or remove features with or without notice

  • Require updates for continued use of the App

  • Change these Terms periodically

Updates may:

  • Improve performance, security, or user experience

  • Fix bugs or address technical issues

  • Add new features or modify existing ones

  • Be automatically downloaded depending on your device settings

Continued use of the App after updates or modifications constitutes acceptance of any changes to functionality or Terms.

11. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Warranties of merchantability

  • Fitness for a particular purpose

  • Accuracy of data interpretation or budget calculations

  • Non-infringement of third-party rights

  • Uninterrupted, error-free, or secure operation

We do not guarantee that:

  • The App will be available at all times or work on all devices

  • Scanned price information or OCR text recognition will always be accurate

  • Budget calculations or spending tracking will be error-free

  • The App will meet your specific requirements or expectations

  • All features will work properly with all device configurations

You use the App at your own risk. We make no representations regarding the reliability, accuracy, or completeness of any information provided by the App.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Beyond Grocery, its owners, officers, employees, contractors, affiliates, and licensors shall NOT be liable for any:

  • Indirect, incidental, consequential, special, punitive, or exemplary damages

  • Loss of profits, revenue, data, or use

  • Business interruption or lost opportunities

  • Damages arising from your inability to use the App

  • Damages resulting from errors, inaccuracies, or omissions in the App

  • Damages caused by unauthorized access to or alteration of your data

  • Damages from reliance on information provided by the App

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Your sole and exclusive remedy for dissatisfaction with the App is to discontinue its use.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Beyond Grocery and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

  • Any data you provide through the App

14. Termination

By You: You may stop using the App at any time by uninstalling it from your device.

By Us: We may terminate or suspend your access to the App, with or without notice, for any reason including:

  • Violation of these Terms

  • Conduct that we determine, in our sole discretion, is harmful to us, other users, or third parties

  • Extended periods of inactivity

  • Technical or security reasons

  • Discontinuation of the App

Effect of Termination: Upon termination:

  • All rights granted to you under these Terms will cease immediately

  • You must immediately uninstall the App and cease all use

  • Locally stored data on your device will remain until you manually delete it

  • Sections of these Terms that by their nature should survive termination will continue to apply

15. Dispute Resolution and Arbitration

Informal Resolution: Before filing any formal claim, you agree to first contact us at support@beyondgrocery.ca to attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the laws of Ontario, Canada, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Beyond Grocery individually. To the fullest extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the jurisdiction of such courts.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beyond Grocery regarding the use of the App and supersede all prior or contemporaneous understandings and agreements, whether written or oral.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
